Due Diligence
- Due Diligence will form a normal part of the transaction process in an acquisition. However, we are often instructed to act for a Venture Capital Company or Bank considering an investment or larger loan into a SME or family business.
- We work with our client to identify issues of concern and to understand commercial issues.
- Using information available publicly and that gleaned from our investigations, we will produce a comprehensive report.
- We will identify potential risk areas and highlight these for further action.
- We will recommend input to the investment or acquisition agreement being drafted by your lawyer.
Case Study - Business Review
Acting for a Venture Capitalist, we were asked to review forecasts, assumptions and management strengths of a near start-up manufacturing business.
We identified a number of shortcomings in the assumptions and, as a result of our report and recommendations, the proposed investment was reappraised and went forward in a revised format.
Case Study - Business Review
We reviewed a potential investment in an established cosmetic repair company for a regional Venture Capital Fund.
We were able to advise on financial forecasts, accounts and records, systems and controls, as well as undertaking various sensitivity testing and appraising the management.
